Description

DevCo is seeking a full-time Director of Legal Services to join our team. The Director of Legal Services will provide legal counsel on the organization’s financial, development, construction management and operational compliance of its residential communities. Responsibilities also include risk management, corporate governance, review and negotiation of various partnership, legal, residential, commercial documents, providing legal counsel and guidance to executive leadership relating to enterprise business activities, and advising on new and existing laws’ impact to daily operations of the business.  They will coordinate with outside counsel on all legal matters and ensure internal contracts and paperwork are consistent and in the best interest of the company.

Pay Details: $185K-$240K bonus potential

 

Schedule: Monday-Friday 8am-5pm

 

 

Job Responsibilities

 

  • Provide advice, counsel and oversight of material legal matters impacting or having the potential to impact the business, including general corporate governance, to the COO and other Officers of the organization.
  • Provide evaluation, guidance and proposed mitigation strategies or potential risks in contractual, regulatory, compliance, financial, legal and insurance areas.
  • Structure, draft, review and negotiate a variety of contracts, agreements and documents to facilitate enterprise operations, including leasing agreements, management agreements, operating agreements, funding agreements, services contracts, vendor contracts, and other transactional instruments maintained in the regular course of business.
  • Development, implement, improve and review legal, ethical and compliance processes, procedures and training.  Research legal issues impacting the organization by identifying applicable statues, judicial decisions and codes.
  • Prepare and maintain corporate governance documents, including facilitation of all mandated filings and compliance with other statutory requirements.
  • Participate in drafting and review of corporate policies, across spectrum of enterprise. 
  • Create, track and maintain corporate entities to facilitate growth.
  • Provide general oversight of subcontractor and vendor procurement, including review of vendor contracts.
  • Maintain repository of a variety of contracts, agreements and corporate documents.
  • Support property management division and provide recommendations, as needed, to maintain efficient unlawful detainer workflow from property staff to outside counsel, start to finish.
  • Participate in execution of organization’s public relations program, including response to requests by any media, and coordinate with external public relations vendors to provide comprehensive public relations support to organization. 
  • Lead the resolution of disputes and legal claims involving the organization.
  • Engage and supervise outside counsel for litigation, specialty legal work and administrative claims.
  • Monitor legislative and administrative developments impacting the industry and enterprise operations and stay up to date on industry trends to proactively advise on potential impacts to the organization’s goals.
  • Act as Corporate Secretary to Foundation Board meetings to manage process and deliberations of decision making. Manage the process and deliberations of the Foundation board meetings.
  • Provide relevant and up-to-date legal trainings, as needed.

Qualifications

Experience

 

  • Juris Doctorate (JD) degree required.
  • Washington State licensure required, in good standing.
  • Minimum 10 years’ experience practicing law and/or legislative experience with progressively more experience in the real estate industry.
  • Excellent written and verbal communication skills.
  • Must be able to speak, read and write English in a manner sufficient to carry out duties.
  • Successful completion of background check and drug screen required.
  • Must be legally qualified to work in the U.S. meeting I-9 guidelines.
