Primary Responsibilities

This role will be primarily responsible for supporting the Legal, Compliance and Risk Management team in managing and processing all requests for assistance from multiple business stakeholders, pertaining to contracts, governance, healthcare regulatory, and litigation.

  • Contracts Management: Draft, review, negotiate, analyze and organize a variety of contracts and related documents, including service agreements, business associate agreements, vendor contracts, termination letters, demand letters and confidentiality agreements.
  • Corporate Governance: Assist with corporate governance matters, including preparing board meeting materials, maintaining corporate records, and ensuring compliance with state and federal regulations.
  • Healthcare Compliance: Support the legal team in healthcare regulatory and compliance matters, including HIPAA, Medicare/Medicaid regulations, and other healthcare-related legal issues.  Prior healthcare experience is highly desirable.
  •  Policy and Procedures: Monitor regulatory changes and assist in drafting necessary policy and procedure updates.
  •  Litigation Support: Provide support in litigation matters, including maintaining the litigation calendar, managing discovery, drafting pleadings, and coordinating with outside counsel.
  • Legal Research: Conduct legal research and provide summaries and recommendations to the legal team.
  • Document Management: Maintain and organize legal documents and files, ensuring they are easily accessible and up-to-date, with accurate tracking of key dates and obligations.
  • Cross-Functional Collaboration: Work closely with various departments, including HR, Finance, IT, Clinical, and Operations, to provide legal support and ensure compliance with company policies and procedures.
  •   All other duties as assigned

 

Qualifications

  •  Minimum of 5 years of paralegal experience, with a focus on contracts, corporate governance, healthcare, and litigation.
  • Prior in-house experience is highly desirable.
  • Prior healthcare experience is desirable
  •  Strong understanding of healthcare regulations and compliance.
  •  Excellent organizational and time management skills.
  • Exceptional attention to detail
  • Ability to work independently or collaboratively with a team and manage multiple tasks simultaneously.
  • Ability to proactively identify legal and compliance matters requiring the attention of the General Counsel or Legal team.
  • Strong written and verbal communication skills.
  •  Advanced proficiency in legal research, CLM Software (Conga preferred) and Microsoft Office Suite and ability to quickly learn new technology platforms or procedures.
  • Strong preference for candidates located in Texas
