General Counsel

Guarantee Trust Life Insurance Company is seeking a highly qualified and skilled General Counsel to join our dynamic management team.  

The position of General Counsel and Secretary is responsible for managing the company’s legal functions and strategy while ensuring the organization operates within the boundaries of the highly complex insurance regulatory framework.

The candidate should have experience in providing legal advice on a wide range of issues, including contracts, claim review, litigation, HR issues and insurance regulations.  

As a respected advisor, the candidate should be comfortable in a leadership role that requires clear and effective communication skills.  The position provides legal advice to senior officers, the Board of Directors and all Company operating departments and therefore, requires a deep understanding of life and health insurance laws, regulations and business functions of an insurance company. Knowledge in general corporate law and its impact on the Company is another vital component of the position.  This is a pivotal business partner role that requires a full-time onsite presence.

Key Responsibilities

• Serve as the chief legal officer providing advice to the Board of Directors, President and CEO, Chief Operating Officer and senior leadership
• Provide guidance on legal and regulatory matters by balancing business objectives against the legal and risk considerations.
• Draft, review and negotiate all contracts including vendor agreements, IT statements of work, reinsurance treaties, agent agreements for the Company and its subsidiaries.
• Oversee, together with the paralegal, Company litigation including managing of outside counsel.
• Provide advice and counsel to the Product Approval and Compliance department on legal and regulatory issues along with review of policy form drafts.
• Advise HR and management on employment issues including harassment, discrimination, protected leave laws and employee benefits.
• Work closely with the Claims department in handling claim disputes and interpreting policy provisions related to claim denials.

• Juris Doctor degree from an accredited law school and current eligibility to practice law.
• 10+ years of legal experience with significant experience in life and health insurance law and company operations.
• Thorough knowledge of HIPAA, ADA, FMLA, ACA and applicable state insurance laws.
• Excellent communication and interpersonal skills with the ability to collaborate effectively with management and employees across the organization.

The pay range provided is not a guarantee of compensation.  The range reflects potential pay for the job grade for this role at the time of this posting. Compensation will depend on several factors such as specific competencies, relevant education and experience, qualifications, and industry certifications.  Compensation ranges are subject to change and may be higher or lower than the range described above.
