Position Overview:
In-House General Counsel provides legal counsel and risk assessment regarding transactional and commercial matters. Broad and varied position with high level of autonomy and responsibility to provide sound legal advice. Provide legal support and advice across all operational areas as well as shared service functions. Serves as the primary legal support for a variety of business professionals, such as senior management, company executives and/or leadership of key functions. Partners with leadership of key functions, to support key initiatives for the overall organization.
Responsibilities:
- Provide legal counsel and guidance to senior leadership and various departments on a wide range of legal issues.
- Draft, review, and negotiate contracts, agreements, and other legal documents, ensuring compliance with applicable laws.
- Handle general corporate governance, including corporate filings, board resolutions, and meeting minutes.
- Advise on employment law matters, employee relations, and labor compliance.
- Assist with managing litigation matters and work with external counsel as needed.
- Ensure compliance with federal, state, and local laws in all states where the company operates.
- Advise on regulatory compliance, data privacy, and intellectual property protection.
- Work closely with cross-functional teams to identify legal risks and implement proactive strategies to mitigate them.
- Stay current on legal developments and ensure the company’s policies are up to date with changes in the law.
- Assist in the development and implementation of legal strategies and company policies.
- Other duties as assigned.
Requirements:
- Undergraduate Degree and JD Degree (from ABA-accredited law school) required.
- Active member in good standing with the Texas state bar.
- Must be licensed to practice law in the state of Texas and/or have a UBE/MBE certification.
- 1- 3 years of post-law school experience, preferably in corporate, commercial, or general counsel functions.
- Valid US driver’s license and strong driving safety record (no more than 2 moving violations in previous 3 years).
- Foster teamwork and collaboration within and between department(s)
Qualifications:
- Strong knowledge of federal and state laws, particularly as they apply to business operations.
- Ability to work independently and collaboratively across departments.
- Strong written and verbal communication skills, with the ability to explain complex legal concepts in simple terms.
- Ability to handle sensitive and confidential information with integrity.
- Excellent problem-solving, negotiation, and interpersonal skills.
- Strong organizational skills and attention to detail.
Preferred Skills:
•   Experience working in-house for a corporation or similar setting.
•   Familiarity with contract law, employment law, and corporate governance.
•   Experience in a multi-state or national environment.
•   Ability to manage and prioritize a high volume of work across multiple legal disciplines.
