We are seeking an experienced and detail-oriented Paralegal to provide support in three core areas:  (1) contracts management, (2) corporate governance and compliance, and (3) litigation and claim support. This role requires excellent organization skills, legal knowledge, and the ability to collaborate cross-functionally with internal teams and external counsel.  The ideal candidate will be a self-starter who thrives in a fast-paced environment and is passionate about maintaining legal and operational integrity across the business.

Key Responsibilities

Contracts

  • Draft, review, and edit commercial transaction documents such as Consents to Assignment, Architect Certifications, and other due diligence materials. 
  • Perform first-level review of client agreements, including use of in-house templates, client-provided agreements, and AIA contracts. 
  • Manage and support the implementation of AI contract review technology, including oversight of license use and effectiveness. 
  • Monitor contract compliance, identify risks, and flag deviations to ensure proper execution and adherence. 
  • Maintain and organize contract records using contract lifecycle management (CLM) systems or equivalent databases
  • Support continuous legal operations improvement by streamlining contract workflows and helping mitigate risk. 

 Corporate Governance / Compliance 

  • Assist in filing, tracking, and maintaining required documents such as Secretary of State reports, business licenses, and architect/engineer certificates of authority. 
  • Develop systems to efficiently manage and track firm licenses at city, county, and state levels. 
  • Provide due diligence support for insurance renewals and corporate compliance needs. 
  • Assist in drafting and maintaining corporate documents such as bylaws, board resolutions, meeting minutes, and annual filings. 
  • Maintain accurate records of entity governance for the company and its subsidiaries/affiliates. 
  • Support implementation and monitoring of compliance programs (ethics, anti-corruption, data privacy, conflicts of interest, etc.). 
  • Liaise with internal departments to ensure governance documentation is current and compliant. 
  • Monitor regulatory deadlines and filing requirements to maintain corporate good standing. 
  • Assist with legal responses to audits, regulatory inquiries, and risk assessments. 

Litigation & Claim Management 

  • Assist with the management of active and threatened litigation, arbitration, and pre-litigation claims.
  • Serve as a liaison to outside counsel, coordinating discovery, document production, timelines, and updates. 
  • Maintain litigation files, calendars, and status tracking reports. 
  • Draft and review legal documents including litigation holds, correspondence, subpoenas, and discovery responses. 
  • Track and log incoming claims and legal matters, ensuring timely escalation and documentation. 
  • Support internal investigations, document collection, and evidence preservation. 
  • Track settlement progress, coordinate documentation, and support execution of agreements and releases. 
  • Maintain and update claims databases, and generate periodic reports on litigation trends and potential legal exposure. 

Qualifications

Qualifications 

  • Minimum 3–5 years of experience in a corporate legal department or law firm, with exposure to contracts, compliance, and litigation support.
  • Strong knowledge of contract law, corporate governance practices, and litigation procedures. 
  • Excellent legal writing, research, and organizational skills. 
  • Proficient in Microsoft Office and legal software; experience with contract lifecycle management (CLM) and/or litigation support tools preferred. 
  • High level of professionalism, discretion, and ability to manage confidential information. 
  • Detail-oriented and capable of managing multiple projects with competing deadlines. 
  • Experience with AIA contracts, AI-powered contract review, and claims management systems preferred. 
  • Familiarity with insurance law, licensing requirements, and regulatory filings preferred. 
  • Prior involvement in process optimization or legal operations initiatives preferred.
