Description

Salary Range: $100,000 to $130,000K
Remote - Candidates must be located in CA, AZ, CO, FL, GA, ID, IL, MN, NC, NJ, NV, OH, OK, OA, TX. Candidate must be able to work 8 am to 5 pm PST business hours.

The position is responsible for providing legal services under the direction of the Sr. Vice President, Legal and Regulatory Affairs. The Paralegal manages projects, performs due diligence, reviews and prepares contracts based on templates, creates contract templates, assists with the creation and maintenance of corporate governance documents, filings, and records for various Clever Care Health Plan corporate entities, builds legal departmental structure, assists with privacy matters, assists with resolution of legal matters including negotiation, mediation, arbitration, and litigation, and performs legal research. The Paralegal will be responsible for managing multiple tasks and projects with competing priorities and deadlines and must exercise initiative and judgment in administrative matters and substantive legal tasks. This position encompasses providing legal services, reviewing and proofreading documents, communicating with internal and external stakeholders, coordinating multiple aspects of legal projects, and understanding and overseeing deadlines. The Paralegal will receive and prepare sensitive and highly confidential material, including transaction documents, contracts, litigation materials, intellectual property materials, strategic planning materials, and other legal matters; the Paralegal is expected to exercise a commitment to protect that confidentiality. This position also requires a commitment to professionalism, attention to detail, and the ability to exercise a significant degree of independent judgment and discretion on a routine basis.

  1. Assist the Legal and Regulatory Affairs office with the provision of legal services including the following:
    1. Draft and update legal documents under the direction of counsel; independently prepare legal documents from templates.
    2. Prepare and edit correspondence.
    3. Assist with corporate governance documentation, filings, and records.
    4. Assist with litigation, arbitration and mediation matters;
    5. Assist with legal department structure, policies, and template development; and
    6. Assist legal team with process improvement initiatives.
       
  2. Under the direction of counsel, provide the following services:
    1. Due diligence (including reviewing and organizing contracts and documents), drafting and negotiation, in connection with a corporate transaction or other matters.
    2. Assist with closing preparation and closing of transactions.
    3. Prepare contracts, including, but not limited to, provider network agreements, program agreements, nondisclosure agreements, vendor agreements, clinical services agreements and service schedules, business associate agreements, amendments, and consents to assign, using templates; and
    4. Performs legal research and prepares a summary of findings.
       
  3. Participate in project workgroups with internal and external clients to collaborate, acquire information, prioritize and meet deadlines.
     
  4. Proofread documents; Preparation of agency filings; Preparation of draft responses to questions regarding procedural issues for agency filings; Preparation of licensure application
     
  5. Monitor and summarize the status of proposed legislation and regulations.

Qualifications

Education and Experience

  • Bachelor’s degree. The following may be considered in lieu of Bachelor’s degree: Associate degree in Paralegal Studies plus four (4) years of relevant experience, or Certification as a Paralegal and four (4) years of relevant experience, or Eight (8) years of relevant experience
     

Skills

  • Eight (8) years’ experience with the provision of legal services, including experience working with a variety of legal documents and managing legal projects.

  • Experience with California State Regulations

Ability to express or exchange ideas to impart information to the public and to convey detailed instructions to staff accurately and quickly.

Work is performed in an office environment and/or remotely. The job involves frequent contact with staff and public. May occasionally be required to work irregular hours based on the needs of the business.
