The Corporate Counsel at ADMA Biologics will play a critical role in providing legal counsel and support on various corporate, securities, investor relations, mergers and acquisitions and employment matters. Additionally, the Corporate Counsel will conduct legal research and collaborate with cross-functional teams to ensure the Company’s public disclosure and policies align with business objectives. The Corporate Counsel will work closely with the Contracts Administrator for support.

Qualifications

ESSENTIALS OF THE JOB:

  • Draft, review and coordinate internally, with outside counsel and with other third parties on Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and other public filings.
  • Draft and review Board and committee consents, minutes and other materials.
  • Review and provide counsel on press releases, earnings scripts and corporate presentations.
  • Review the Company’s committee charters, Code of Ethics and Employee Handbook on an annual basis and coordinate internally and with outside counsel on revisions.
  • Manage annual report and other state filings made by the Company’s registered agent over the course of the year.
  • Assist on various employment matters, including review and counsel on employment agreements, corrective actions, performance improvement plans, employee investigations and other related matters.
  • Coordinate disclosures of press releases/SEC filings with Nasdaq. 
  • Review the Company website and coordinate updates from time to time.
  • Provide legal advice and guidance on various corporate, employment, securities, investment relations, and mergers and acquisitions matters.
  • Draft, review, and negotiate contracts from time to time, with a focus on confidentiality agreements, employment agreements, credit agreements, engagement letters, letters of intent, strategic agreements (e.g., merger agreements, asset purchase agreements) and other corporate-related agreements.
  • Work closely with the Contracts Administrator to oversee the Company’s internal and third-party contract management databases.
  • Review, interpret and analyze existing contracts from time to time, and prepare correspondence to third parties as requested by the General Counsel.
  • Conduct legal research and analysis on complex contractual issues and stay abreast of relevant legal developments.
  • Develop and implement policies and procedures to ensure compliance with company policies and applicable laws and regulations.
  • Work with the General Counsel and Finance team on various audit-related matters, including Sarbanes-Oxley compliance.
  • Work with the General Counsel, Human Resources and Finance team on various stock-based compensation and equity compensation plan matters, including overseeing administration of the Company’s equity compensation platform.
  • Collaborate with cross-functional teams to ensure contract terms and conditions align with business objectives and risk tolerance.
  • Support corporate transactions, including debt refinancings, mergers, acquisitions, and divestitures, with respect to due diligence and integration. This includes, but is not limited to, managing the Company’s data room, preparing disclosure schedules and other deliverables and reviewing the definitive documentation.
  • Assist the General Counsel with managing the Company’s IP portfolio, working closely with IP counsel to ensure the timely review and filing of the Company’s patent and trademark filings.

Education Requirements: Juris Doctor (JD) degree from an accredited law school. Admission to any state bar and in good standing    

 

Experience Requirements:

  • At least 5 years of legal experience working in the capital markets, debt finance, M&A and/or corporate group of an AMLAW 100 law firm
  • Prior in-house legal experience strongly preferred
  • Strong knowledge of corporate and securities law
  • Strong knowledge of contract law principles and contract drafting techniques.
  • Excellent legal research, writing, and analytical skills.
  • Willingness to learn and become skilled in less experienced areas.
  • Ability to effectively communicate legal concepts to non-legal stakeholders.
  • Strong attention to detail and ability to manage multiple priorities in a fast-paced environment.
  • Collaborative team player with a proactive and solution-oriented approach.
