Summary: 

Responsible for overseeing the acquisition, contract closing process and post-closing integration for the legal department and ensure all deals are closed accurately and in compliance with company and industry standards and post-closing tasks are completed.  The ideal candidate should have substantial experience in real estate acquisitions, contracts, due diligence and closings and the skill set to train and manage others.  Draft and review various documents and perform redline reviews. Work closely with internal departments and teams on various issues, including asset management, real estate, title, and other corporate and regulatory matters.  Assist in auditing all existing sites and insuring processes to keep all data clean and current going forward. Be able to multitask and excel in a fast paced and high energy environment.

 

Job Functions:

  • Assist in the oversight of the development, negotiation, and execution of acquisition and closing contracts to ensure compliance with company policies and legal requirements. Oversee post-closing integration of all closing documents and post-closing tasks are completed
  • Assist with managing asset management issues, landlord disputes, tenant issues and other corporate and regulatory matters
  • Assist in leading ongoing skill gap training and performance evaluations of various team members.
  • Ensure efficient and effective transactions are being completed by the contract and acquisition team
  • Overseeing the due diligence review process and managing internal and external teams to ensure accurate data scrub, document generation, document integration and closing and post-closing requirement compliance
  • Ensuring compliance with legal and regulatory requirements in all transactions
  • Perform advanced title reviews and guidance to paralegals to clear requirements and exceptions relating to properties acquired and developed by the Company to obtain a clear title
  • Perform advanced survey reviews and guidance to paralegals to ensure corporate standards are being adhered to and the company has clear and insurable interest
  • Review and audit closing transaction document drafts to ensure accuracy in accordance with VB standards, deal requirements and local and state requirements
  • Assist in agreement negotiations and redline reviews and responses
  • Assist in the audit and issue cleanup of the historical data and document integrity of all sites
  • Assist in all securitization preparation, closing and post-closing requirements to ensure all financial metrics required under the various loan facilities are adhered to
  • Work with the Director of Legal Operations on various issues regarding processes, compliance, and workload distribution throughout the department to ensure the legal department is meeting all customer focused metrics for internal and external customers

Qualifications

Education and Experience:

  • Bachelor’s degree in Business or related preferred or equivalent combination of education and experience
  • Minimum of 15 years’ experience working in a real estate and/or corporate legal department
  • Prefer paralegal certification or Certified Legal Assistant
  • Prefer minimum 10 years’ experience in wireless communication or real estate industry
  • Strong analytical skills
  • Strong leadership and conflict resolution skills
  • Strong organization skills with a positive high energy mindset.
  • Demonstrated mastery balancing multiple tasks in a fast-paced high energy environment.
  • Strong written and verbal communication skills with supervisor, clients, colleagues, and vendors.
