Positions Summary:

The Senior Counsel will provide broad sophisticated legal support to the Liberty family of companies with a focus on contracts, employment, leasing, and mergers and acquisition transactions. This role involves significant document drafting and interaction with other operational and business areas of Liberty. The role requires the ability to multi-task and work in a fast-paced legal department, with strong commitment to detail, accuracy, organization, and recordkeeping.

The successful candidate should demonstrate: a high degree of self-motivation; business savvy; strategic thinking; a broad, proactive, and practical approach to issues (particularly as relates to business and financial considerations); attention to detail; and strong drafting, negotiating, communication, and collaboration skills.

 

Essential Duties and Responsibilities:

  • Review, draft, and negotiate of a wide range of commercial contracts and implement and manage an enterprise-wide contracting process.
  • Support Human Resources and management on a broad range of employment law matters, and review, draft, and negotiate a wide range of employment documents, including employment agreements, restrictive covenant agreements, service provider agreements, cease and desist letters, and separation agreements.
  • Manage all aspects of mergers and acquisitions for Liberty and its subsidiaries, including the review, draft and negotiation of transaction documents, analyzing possible legal and business impact on Liberty and its subsidiaries, proactively managing any issues that may arise during the acquisition/merger process; communicating and coordinating with other departments as necessary, and carrying out and facilitating legal due diligence.
  • Review, draft and negotiate leases, subleases, modifications, and management of any related legal disputes.
  • Assist with other special projects as assigned.

Qualifications

Minimum Qualifications:

  • Juris Doctorate degree from an ABA-accredited law school and current license to practice law in at least one state.
  • 5-7 years of relevant in-house or law firm experience.
  • Proficiency in contract negotiation and drafting.
  • Prior experience handling mergers & acquisitions, including due diligence management and agreement negotiation and drafting.
  • Prior experience in employment and labor law, including drafting and reviewing of employment agreements, restrictive covenants, and cease and desist letters.
  • Prior experience with corporate leasing document drafting, review, and negotiation.
  • Background in the insurance industry is a plus but not required.
  • Strong project management skills and ability to juggle multiple tasks and competing priorities simultaneously in an organized and efficient manner.
  • Strong follow-up skills and ability to take initiative.
  • Excellent communication skills, both verbal and written.
  • Strong time management skills.
  • Willingness to collaborate as a dedicated team member.
  • Self-starter with a high sense of accountability.
  • Strong attention to detail.
  • Excellent legal research, writing, and analytical skills.
  • Ability to learn and navigate multiple systems, including but not limited to, Westlaw, LawVu and Microsoft Office products.
