Job Summary:
The Vice President of Legal Affairs – Healthcare and Corporate Practice of Medicine will report to the Chief Legal Officer and be responsible for healthcare regulatory compliance matters relating to the company’s portfolio of franchised brands, including weight loss management and wellness. The successful candidate will have extensive healthcare compliance experience, including relevant experience with state corporate practice of medicine laws, FDA regulations, advertising and marketing, electronic health records and patient privacy.
*Although in-person is preferred, this position is eligible to work fully remotely with occasional travel including to our headquarters in Irvine, California.
Responsibilities:
- Responsible for healthcare regulatory compliance across the company’s portfolio of brands with a strong focus on the company’s weight loss and wellness brand.
- Advise on compliance with federal, state, and local healthcare laws and regulations, including HIPAA, FDA, FTC, Anti-Kickback Statute, and Stark Law.
- Monitor changes in healthcare laws and regulations and provide proactive guidance on potential business impacts.
- Provide advice and guidance regarding state corporate practice of medicine laws and regulations, including the professional corporation model.
- Counsel on risk mitigation strategies related to healthcare delivery in a franchised model.
- Negotiate and draft agreements related to the company’s health and wellness business, including agreements with medical supply vendors, electronic health records vendors, and other vendors.
- Maintain up-to-date library of template agreements and documents for the company’s weight loss and wellness brand, including membership agreements, vendor agreements, informed consents, and standards of care.
- Provide legal guidance on matters related to patient interactions, informed consents and liability.
- Review and approve advertising, marketing and promotional materials for compliance with healthcare industry standards and applicable law.
- Monitor developments and advise on best practices related to compounded drugs.
- Ensure compliance with laws governing health records and patient privacy.
- Document and continuously improve applicable SOPs and compliance manuals.
- Effectively manage compliance and training programs on healthcare compliance topics in the franchised model.
- Assess and maintain appropriate insurance coverage for the company and determine appropriate levels and types of insurance for vendors and franchisees.
- Support M&A from a healthcare compliance perspective when applicable.
- Assist with supervision of legal professionals and project management.
- Provide strategic and proactive legal advice to business clients.
- Effectively communicate and manage business client expectations.
- Maintain deep understanding of business objectives, adequately spot important legal issues, clearly communicate risks and considerations for business input, and take a commercial approach to risk mitigation.
- Assess risk and use sound business and legal judgment to make decisions, negotiate, and determine priorities to meet deadlines in a fast-paced environment.
- Inspire confidence in business clients by consistently providing well-reasoned legal advice and practical solutions to complex issues.

Salary Range: $200,000 - $270,000
